Price warrants for a period of twelve (12) months from the date of the bill of lading issued by Price, that the Products sold to Representative (or to Representative's customers through the
Direct Billing process) will be free from all defects in material and workmanship at the time of the sales transaction. ALL OTHER GUARANTEES, WARRANTIES, CONDITIONS AND REPRESENTATIONS, EITHER
EXPRESS OR IMPLIED, WHETHER ARISING UNDER ANY STATUTE, LAW, COMMERCIAL USAGE OR OTHERWISE, INCLUDING IMPLIED WARRANTIES FOR FITNESS OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE
HEREBY EXCLUDED. In no event will Price be liable for any business expenses, loss of profits, indirect, reliance or special damages, or incidental or consequential damages, however caused, whether
by Price's sole or concurrent negligence or otherwise. This warranty is supplemented by the warranty policy contained in the Customer Service Handbook, which explains the process for dealing with
claims and remedies relating to defective Products.
Limitation of Liability
Price's sole obligation under this Agreement is to sell Products to Representative (or to Representative's customers through the Direct Billing process) for any business expenses, loss of profits,
indirect reliance on special damages, or incidental or consequential damages, however caused, whether by Price's sole or concurrent negligence or otherwise.
